GLI Explorers Club Terms of Use
These terms and conditions of use (hereinafter referred to as the "Terms and Conditions") apply to the GLI Explorers Club (hereinafter referred to as the "GEC"). This Terms of Use Agreement (hereinafter referred to as the "Agreement") applies to the services provided by GLI Explorers Club (hereinafter referred to as "GEC") (hereinafter referred to as the "Services"). (hereinafter referred to as "GEC") ("GLI Explorers Club") ("GEC"). The Terms and Conditions of Use (the "Terms and Conditions") shall govern the use of the services provided by the GLI Explorers Club ("GEC"). Registered members (hereinafter referred to as "Members") are required to follow the terms and conditions of this Agreement. ("GEC"), you are requested to use the Service in accordance with these Terms of Use.
Article 1 (Application)
1. The Terms of Use shall apply to all relationships between the Member and GEC regarding the use of the Service.
GEC may establish rules and regulations regarding the use of the Service (hereinafter referred to as "Individual Regulations") in addition to these Terms of Use. These individual provisions, regardless of their name, shall constitute a part of the Terms and Conditions. Regardless of the name by which these Individual Rules are called, they shall constitute a part of these Terms of Use.
In the event of any inconsistency between the provisions of these Terms and Conditions and the individual provisions of the preceding Article, the provisions of the individual provisions shall prevail unless otherwise specified in the individual provisions.
Article 2 (Registration for Use)
1. the registration for this service is completed when a prospective registrant agrees to the Terms of Use and applies for registration in the manner prescribed by the Company, and when the Company approves the application.
The Company may not approve an application for registration if it determines that the applicant has any of the following reasons, and the Company shall not be obligated to disclose the reasons for such denial.
1: When false information is reported in the application for user registration
2: If the application is from a person who has previously violated these Terms and Conditions
3:Other cases in which we deem the registration of use to be inappropriate.
MISUMI shall not be liable for any loss or damage arising out of the use of this service, except in the case of the following
Article 3 (Usage Fees and Payment Methods)
Members shall pay for the paid portion of the Service by a method designated by the Company, in consideration of a fee determined by the Company.
Article 4 (Prohibited Matters)
In using the Service, Members shall not engage in any of the following acts
1. acts that violate laws, regulations, or public order and morals
(2) Actions related to criminal acts
(3) Infringement of copyrights, trademarks, or other intellectual property rights contained in this service, including the contents of this service
(4) Commercial use of information obtained through the Service
5. any activity that may interfere with the operation of GEC's services
(6) Use of the Service for any unauthorized purpose
7. acts that cause disadvantage, damage, or discomfort to other members of the Service or other third parties
8. impersonating another Member
9. advertising, publicity, solicitation, or sales activities on the Service that are not authorized by GEC
10. other activities that the Company deems inappropriate
Article 5 (Suspension of Provision of the Service, etc.)
GEC reserves the right to suspend or discontinue all or part of the service without prior notice to members for any of the following reasons
1: When the provision of this service becomes difficult due to force majeure such as earthquake, lightning, fire, power outage or natural disaster.
2: Other cases in which the Company deems it difficult to provide this service
GEC shall not be liable for any disadvantage or damage incurred by the user or any third party due to the suspension or interruption of the provision of this service. 2.
Article 6 (Restriction of Use and Cancellation of Registration)
GEC may, without prior notice, restrict a member's use of all or part of the service or terminate the member's registration if any of the following occurs
1: Violation of any of the provisions of these Terms and Conditions
2: When it is found that there is a false fact in the registration information, or when there is default in payment of fees and other obligations.
3: When there is no response from GEC for a certain period of time
4: Other cases in which GEC deems the use of this service to be inappropriate.
2. GEC shall not be liable for any damages incurred by members as a result of actions taken by the Company in accordance with this Article.
Article 7 (Withdrawal from Membership)
Members may withdraw from the Service by following the withdrawal procedure established by GEC.
Article 8 (Change of Service Contents, etc.)
GEC may change, add, or discontinue the service with prior notice to the member, and the member agrees to such changes, additions, or discontinuation.
Article 9 (Modification of Terms of Use)
GEC reserves the right to change the Terms and Conditions without requiring individual member consent in the following cases
1: When changes to the Terms and Conditions are compatible with the general interests of the Members.
2: When the modification of the Terms of Use is not contrary to the purpose of the Service Use Agreement and is reasonable in light of the necessity of the modification, reasonableness of the modified contents, and other circumstances pertaining to the modification.
GEC will notify members in advance of any changes to the Terms and Conditions in accordance with the preceding paragraph, as well as the contents of the revised Terms and Conditions and when the changes will take effect.
Article 10 (Handling of Personal Information)
GEC will properly handle personal information obtained through the use of this service in accordance with GEC's "Privacy Policy.
Article 11 (Notification or Communication)
Notices or communications between a member and GEC shall be made in a manner determined by GEC, and unless a member notifies GEC of a change in his or her contact information in accordance with a method determined separately by GEC, GEC shall assume that the currently registered contact information is valid and send notices or communications to that information, which shall be deemed to reach the member when sent. The notification or contact will be deemed to have reached the member at the time it is sent.
Article 12 (Prohibition of Assignment of Rights and Obligations)
A Member may not assign its position under the Subscriber Agreement or its rights or obligations under the Terms and Conditions to a third party or offer them as security without the prior written consent of GEC.
Article 13 (Governing Law and Jurisdiction)
This Agreement shall be governed by and construed in accordance with the laws of Japan.
In the event of any dispute concerning the Service, the court having jurisdiction over the location of GEC's head office shall have exclusive jurisdiction.
